Matte Mentors - Terms of Use

When you purchased a Matte Mentors class and navigate through our website you agreed to this terms and policy. By using the services your acknowledging that you have read and understand this agreement and policy and that you agree to be bound by their terms. If you do not agree to be bound by the terms of this agreement and policy, promptly exit this page without accessing or using any of the services.

Acceptance of Terms

Matte Mentors welcomes you. The Service: Subject to the terms of this agreement, Matte Mentors ("Us") grants to you a limited, personal, non-transferrable, and non-exclusive right to use the Educational services (the "Services") during the Term. Your use of Services shall be strictly in accordance with this Agreement and our Acceptable Use Policy. Matte Mentors provides the classes (defined below) to you subject to the following Terms of Service ("TOS"), which may be updated by us from time to time without notice to you. You can review the most current TOS at any time at: https://www.mattementors.com By accessing and using Matte Mentors classes, you accept and agree to be bound by the terms and provision of the TOS. In addition, when using particular Matte Mentors owned or operated services, you and Matte Mentors shall be subject to any posted guidelines or rules applicable to such services, which may be posted and modified from time to time. All such guidelines or rules are herby incorpoarted by reference into the TOS. Matte Mentors may also offer other services that are governed by different Terms of Service.

1. Description of Matte Mentors classes

Matte Mentors provides users with access to educational resources, including without limitation various communication tools, forums, shopping services, personalized content, and branded programming though its network of properties which may be accessed through any various medium or device now known or hereafter developed, currently with Thinkific. You also understand and agree that the Matte Mentors classes may be included in advertisements, and that these advertisements are necessary for Matte Mentors to promote the Matte Mentors classes. You also understand and agree that Matte Mentor classes may include certain communications from Matte Mentors, such as service announcements, administrative messages, and newsletters, and that these communications are considered part of Matte Mentors enrollment. Unless explicitly stated otherwise, any new features that augment or enhance the current Matte Mentors classes, including the release of new Matte Mentors properties, shall be subject to the TOS. Nothing in this Agreement grants or transfers to you any ownership rights in the Service, including the software and other intellectual property rights related to the Service. You understand and agree that the Matte Mentors classes are provided "AS-IS" and that Matte Mentors assumes no responsibilty for the timeliness, deletion, mis-delivery or failure to store any user communications or personalization settings. You are responsible for those fees, including those fees associated with the display or delivery of advertisements. In addition, you must provide and are responsible for all equipment necessary to access the Matte Mentors classes through Thinkific.

You are solely responsible for providing your assignments to your instructor in a timely manner, and that instructor is not obligated to provide feedback to late assignment posted within or after week of due date had past. You agree to comply with our Acceptable Use Policy and all applicable laws and regulations, including, but not limited to, those related to copyright, trademark, other intellectual property rights, data privacy, international communications, import and export regulations, and tax laws and regulations.

You understand that the technical and transmission of Matte Mentors classes, including your Content, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

USE OF SITE

You must adhere to all limitations on dissemination, usage and reproduction of any Services of Materials that you download from the Site that are subject to such limitations. You agree to use the Services only to access, download, utilize, post, send or receive Materials in an appropriate manner as related to the particular Materials or Services being accessed or used by you. As some examples of improper activities when accessing or using the Site, Services or Materials, you agree that you shall not:

• Collect, harvest, mine or engage in any other activity to obtain e-mail addresses, phone numbers, personal information or any other information about others.
• Use or attempt to gain access to or use another's account, password, Service, Materials or computer systems or networks connected to any Matte Mentors or Thinkific server or to the Site without authorization from Matte Mentors , whether through hacking, password mining or any other means.
• Remove or falsely add to any uploaded Materials any copyright, trademark or other legal or proprietary rights notices, author attributions or other information such as origin or source of the Materials.
• Access or attempt to access any Materials that you are not authorized to access or Materials through any means not intentionally made available through the Site or Services.
• Make available any files containing Materials where you do not own or control, or have not received the necessary licenses to, all Intellectual Property Rights, rights of privacy and publicity and all other rights in and to such Materials.
• Use any Materials in any manner that infringes any Intellectual Property Rights or other rights of any party.
• Disrupt or interfere with the security of, or otherwise cause harm to, the Site, or any Services, Materials, systems resources, accounts, passwords, servers or networks connected to or accessible through the Site or any affiliated or linked sites.
• Post or otherwise submit any software, programs or files that are harmful or disruptive of another’s equipment, software or other property, including any corrupted files, time bombs, Trojan horses, viruses and worms.
• Create a false identity for the purpose of misleading others.
• Download any Materials posted by another that you know, or reasonably should know, cannot be legally reproduced, distributed, performed or displayed in such manner.
• Disrupt, interfere or inhibit any other user from using and enjoying the Site or other affiliated or linked sites, Materials or Services.
• Breach any guidelines or other codes of conduct applicable to a particular Service or Materials.
• Access or use the Site in any manner that could damage, disable, overburden or impair any Matte Mentors or Thinkific server or the network(s) connected to any Matte Mentors or Thinkific server.
• Violate any applicable laws or regulations related to the access to or use of the Site, or engage in any activity prohibited by the Terms of Use.
• Post or otherwise submit any topic, name, material or information that is child pornography, defamatory, excessively violent, harassing, inappropriate, indecent, lascivious, lewd, obscene, profane, racist, unlawful, or otherwise objectionable.
• Prepare, compile, use, download or otherwise copy any Site user directory or other user or usage information or any portion thereof, or transmit, provide or otherwise distribute (whether or not for a fee) such directory or information to any third party.
• Engage in any chain letters, contests, junk e-mail, pyramid schemes, spamming, surveys or any other duplicative or unsolicited messages (commercial or otherwise).
• Violate the rights of Matte Mentors or any third party (including rights of privacy and publicity) or abuse, defame, harass, stalk or threaten another.
• Use any Matte Mentors domain name as a pseudonymous return e-mail address.
• Market any goods or services for any business purpose (including advertising and making offers to buy or sell goods or services), unless specifically allowed to do so by Matte Mentors.

YOU ALSO AGREE TO THE FOLLOWING

You may not use any “deep-link”, “page-scrape”, “robot”, “spider” or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Site, Material, or Services, or in any way reproduce or circumvent the navigational structure or presentation of the Site, Materials, or Services, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the Site. Matte Mentors reserves the right to bar any such activity.

You may not attempt to gain unauthorized access to any portion or feature of the Site, or any other systems or networks connected to the Site or to any Matte Mentors server, or to any of the services offered on or through the Site, by hacking, password “mining” or any other illegitimate means.

You may not probe, scan or test the vulnerability of the Site or any network connected to the Site, nor breach the security or authentication measures on the Site or any network connected to the Site. You may not reverse look-up, trace or seek to trace any information on any other user of or visitor to the Site, or any licensor of Matte Mentors, or any consumer/customer of products of Matte Mentors, including any Matte Mentors account not owned by you, to its source, or exploit the Site or any service or information made available or offered by or through the Site, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than your own information, as provided for by the Site.

You agree that you will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Site or Matte Mentors ’s systems or networks, or any systems or networks connected to the Site or to Matte Mentors .

You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of the Site or any transaction being conducted on the Site, or with any other person’s use of the Site.

You may not forge headers or otherwise manipulate identifiers in order to disguise the origin of any message or transmittal you send to Matte Mentors  on or through the Site, Services, or Materials offered on or through the Site. You may not pretend that you are, or that you represent, someone else, or impersonate any other individual or entity.

You may not use the Site, Services, or Materials for any purpose that is unlawful or prohibited by these Terms of Use, or to solicit the performance of any illegal activity or other activity which infringes the rights of Matte Mentors  or others.

When using Services or Materials, you will be subject to any posted guidelines, rules or licenses applicable to such Services or Materials, if any, in addition to the Terms of Use. Materials and Services provided by third parties (collectively, the "Third-Party Services") are governed by separate agreements accompanying such Materials and Services.

Matte Mentors  offers no guarantees and assumes no responsibility or liability of any type with respect to the Third-Party Services, including any liability resulting from incompatibility between a Third-Party Service, the Materials, Services or another Third-Party Service. You agree that you will not hold Matte Mentors  responsible or liable with respect to the Third-Party Services.

Matte Mentors, in its sole discretion, may (but has no obligation to) monitor or review the Materials and Services at any time. Matte Mentors may at any time without notice and in its sole discretion: (a) terminate a Service, access to or use of any Materials or an area of the Site where Materials are posted or submitted; and (b) disclose any information related to your use of a Service or Material, or the substance of any of your posted or submitted Materials, as Matte Mentors deems necessary to comply with applicable law, regulation, legal process or governmental request. You agree to use extra care when disclosing any personally identifiable information about yourself or your children in any Services or when you post or otherwise submit any Materials.

If you are required to establish an account in connection with a particular Service or Material, you must complete the designated registration process for such Service or Material. All required registration information that you provide must be current, complete and accurate and kept up to date on a prompt, timely basis. If required, you must also choose a user name and password for such account. It is your sole responsibility to keep your account number, user name, password and other sensitive information confidential. If you become aware of any unauthorized use of your account or any other breach of security, you shall notify Matte Mentors immediately. If any Services or Materials provide password-restricted access to your sensitive information (including customer lists and contractual terms), then by accessing or using this Site and setting up a password-restricted account for such Services or Materials, you consent to Matte Mentors's display of such information via such Services or Materials and accept all risks of unauthorized access to such information.

Except as indicated to the contrary elsewhere on this Site, you may view, download, and print the Materials available on this Site subject to the following conditions:

• The Materials may be accessed and used solely for personal, informational, non-commercial and internal purposes.
• The Materials may not be modified or altered in any way.

• Matte Mentors  reserves the right to revoke the authorization to view, download and print the Materials available via this Site at any time, and any such use shall be discontinued immediately upon notice from Matte Mentors .
• The rights granted to you constitute a license and not a transfer of title.
• The Materials comprised of Software are subject to the additional provisions governing Software set forth herein.
• Any Materials made available only upon payment of a fee or execution of a separate agreement may only be viewed, downloaded and printed subject to your payment of such fee or execution.
• Use of the Materials for any other purpose is expressly prohibited and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible.

The rights specified above to view, download and print the Materials available on this Site are not applicable to the design, layout or look and feel of this Site. Such elements of the Site are protected by law, including trade dress, trademark, unfair competition and other laws, and may not be copied or imitated in whole or in part. No trademark, graphic, sound or image from the Site may be copied or retransmitted unless expressly permitted by Matte Mentors. In addition, various sections of the Site may showcase the work of creative professionals. Such Materials belong to their creators, may be protected by Intellectual Property Rights and are for display purposes only. Materials encompassing any software code, including programs, tools, utilities, files and otherwise, and accompanying documentation that are made accessible via the Site (collectively, "Software") are the copyrighted and patented work of Matte Mentors  or its suppliers. Use of such Software is governed by the terms of the license agreement that accompanies or is included with the Software, or by any license agreement expressly stated on the Site page(s) accompanying the Software. You will not be able to use, download or install any Software that is accompanied by or includes a license agreement unless you agree to the terms of such license agreement. Absent a license agreement that accompanies the Software, use of the Software will be governed by the Terms of Use. You agree that you will not decompile, reverse engineer or otherwise attempt to discover the source code of the Software. The Software is made available solely in accordance with the license agreement. Without limiting the foregoing, unless the accompanying license agreement expressly allows otherwise, any copying or redistribution of the Software is prohibited, including any copying or reproduction of the Software to any other server or location for further reproduction, redistribution or use on a service bureau basis. Any unauthorized use, copying or distribution of the Software is expressly prohibited by law, and may result in severe civil and criminal penalties. PRIVACY

You acknowledge and agree that Matte Mentors  shall not be liable for any failure to store User Materials on the Site at any time.RESTRICTION AND TERMINATION OF USE

IN NO EVENT SHALL MATTE MENTORS , ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS OR SUPPLIERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY SPECIAL, PUNITIVE, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OR LOSSES OF ANY KIND, OR ANY DAMAGES OR LOSSES WHATSOEVER, INCLUDING THOSE RESULTING FROM LOSS OF USE, DATA OR PROFITS, WHETHER OR NOT FORESEEABLE OR IF MATTE MENTORS  HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES, AND ON ANY THEORY OF LIABILITY, INCLUDING BREACH OF CONTRACT OR WARRANTY, NEGLIGENCE OR ANY OTHER ACTION

SOME JURISDICTIONS PROHIBIT THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. ACCORDINGLY, THE LIMITATIONS AND EXCLUSIONS SET FORTH ABOVE MAY NOT APPLY TO YOU.

If, notwithstanding the other provisions of these Terms of Use, MATTE MENTORS is found to be liable to you for any damage or loss which arises out of or is in any way connected with your use of the Site, Materials, or Services, MATTE MENTORS ’s liability shall in no event exceed US (One Hundred Dollars) $100.00. Some jurisdictions do not allow limitations of liability, so the foregoing limitation may not apply to you.

INDEMNITY

You agree to indemnify and hold Matte Mentors, its officers, directors, shareholders, predecessors, successors in interest, employees, agents, attorneys, subsidiaries and affiliates, harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against Matte Mentors by any third party due to or arising out of or in connection with your use of the Site, Materials, or Services.

VIOLATION OF TERMS OF USE

Matte Mentors may disclose any information we have about you (including your identity) if we determine that such disclosure is necessary in connection with any investigation or complaint regarding your use of the Site, or to identify, contact or bring legal action against someone who may be causing injury to or interference with (either intentionally or unintentionally) Matte Mentors’s rights or property, or the rights or property of visitors to or users of the Site, including without limitation, Matte Mentors’s licensors, affiliates, or product consumers/customers. Matte Mentors reserves the right at all times to disclose any information that Matte Mentors deems necessary to comply with any applicable law, regulation, legal process or governmental request. Matte Mentors also may disclose your information when Matte Mentors determines that applicable law requires or permits such disclosure, including exchanging information with other companies and organizations for fraud protection purposes.

You acknowledge and agree that Matte Mentors may preserve any transmittal or communication by you with Matte Mentors through the Site or any service offered on or through the Site, and may also disclose such data if required to do so by law or Matte Mentors determines that such preservation or disclosure is reasonably necessary to (1) comply with legal process, (2) enforce these Terms of Use, (3) respond to claims that any such data violates the rights of others, or (4) protect the rights, property or personal safety of Matte Mentors, its employees, users of or visitors to the Site, and the public.

You agree that Matte Mentors may, in its sole discretion and without prior notice, terminate your access to the Site and/or block your future access to the Site if we determine that you have violated these Terms of Use or other agreements or guidelines which may be associated with your use of the Site. You also agree that any violation by you of these Terms of Use will constitute an unlawful and unfair business practice, and will cause irreparable harm to Matte Mentors , for which monetary damages would be inadequate, and you consent to Matte Mentors  obtaining any injunctive or equitable relief that Matte Mentors  deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies Matte Mentors  may have at law or in equity.

You agree that Matte Mentors may, in its sole discretion and without prior notice, terminate your access to the Site, for cause, which includes (but is not limited to) (1) requests by law enforcement or other government agencies, (2) a request by you (self-initiated account deletions), (3) discontinuance or material modification of the Site or any service offered on or through the Site, or (4) unexpected technical issues or problems.

If Matte Mentors does take any legal action against you as a result of your violation of these Terms of Use, Matte Mentors will be entitled to recover from you, and you agree to pay, all reasonable attorneys’ fees and costs of such action, in addition to any other relief granted to Matte Mentors . You agree that Matte Mentors will not be liable to you or to any third party for termination of your access to the Site as a result of any violation of these Terms of Use.

GOVERNING LAW; DISPUTE RESOLUTION

You agree that all matters relating to your access to or use of the Site, including all disputes, will be governed by the laws of the United States and by the laws of the State of California without regard to its conflicts of laws provisions. You agree to the personal jurisdiction by and venue in the state and federal courts in Los Angeles County, California, and waive any objection to such jurisdiction or venue. No recovery may be sought or received for damages other than out-of-pocket expenses, except that the prevailing party will be entitled to costs and attorneys’ fees. If we are unable to resolve any such dispute within a reasonable time (not to exceed thirty (30) days), then either party may submit such controversy or dispute to mediation. If the dispute cannot be resolved through mediation, then the parties shall be free to pursue any right or remedy available to them under applicable law.

VOID WHERE PROHIBITED

Matte Mentors administers and operates the www.mattementors.com Site from its location in Los Angeles, California USA; other Matte Mentors  sites may be administered and operated from various locations outside the United States. Although the Site is accessible worldwide, not all features or products discussed, referenced, provided or offered through or on the Site are available to all persons or in all geographic locations, or appropriate or available for use outside the United States. Matte Mentors  reserves the right to limit, in its sole discretion, the provision and quantity of any feature, product or service to any person or geographic area. Any offer for any feature, product or service made on the Site is void where prohibited. If you choose to access the Site from outside the United States, you do so on your own initiative and you are solely responsible for complying with applicable local laws.

MISCELLANEOUS

You may not use or export or re-export any Materials or Services or any copy or adaptation of such Materials or Services offered on the Site, in violation of any applicable laws or regulations, including without limitation United States export laws and regulations.

WHEN YOU PURCHASED ANY OF OUR PRODUCTS YOU ACKNOWLEDGED THAT YOU HAVE COMPLETELY READ AND ACCEPT THIS END OF USER AGREEMENT AND TERM OF SERVICE POLICY. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, YOU MAY CHOOSE NOT TO BECOME A USER OF THE SERVICES BY CONTACTING US AND APPLY TO THE CONSEQUENSES OF OUR REFUND POLICY.
